This Rental Agreement (the "Agreement") is between ShadeReady LLC ("ShadeReady," "we," "us," or "our") and the person placing the order ("Customer," "you," or "your"). This Agreement governs the rental and/or purchase of products and services offered by ShadeReady.
By (i) clicking "I Agree," (ii) placing an order through our website, (iii) placing an order through another channel we accept (e.g., text, email, phone, concierge/hotel staff, or other third party), (iv) taking possession of the Rental Items, or (v) using the Rental Items, you acknowledge that you have read, understand, and agree to this Agreement.
If you do not agree, do not place an order or take possession of Rental Items.
1. Incorporation of Other Policies
This Agreement incorporates by reference our Terms of Use, Privacy Policy, FAQs, and any ordering-page disclosures presented during checkout (collectively, the "Site Policies"). If there is a direct conflict between this Agreement and a Site Policy on a specific rental issue, this Agreement controls unless we expressly state otherwise in writing.
2. Changes to This Agreement
We may update this Agreement from time to time. The version posted on our website at the time you place your order will apply to your order. Changes take effect upon posting unless otherwise stated.
3. Definitions
For clarity, the following definitions apply:
- Website. The ShadeReady website and related checkout experiences.
- Order. Your request to rent and/or purchase items for a specified rental period and delivery/return plan.
- Order Confirmation. The confirmation we send (or present on-screen) after we accept your Order.
- Rental Items. Any non-consumable items rented to you (for example: cooler backpack, compact daypack, ice packs, handheld fans, power banks, UV umbrellas, and any other re-usable equipment).
- Consumables. Non-returnable items intended for single use or retention (for example: sunscreen packets, electrolyte packets, and similar items).
- Delivery Location. The location you select or provide (e.g., hotel front desk, bell desk, concierge, valet, a designated pickup shelf/rack if applicable, or another approved location).
- Return Location. The location you select or provide for return (often the same as Delivery Location).
- Rental Period. The time starting when the Rental Items are delivered to the Delivery Location and ending when the Rental Items are returned to the Return Location and retrieved/checked-in by ShadeReady.
- Damage. Breakage, malfunction due to misuse, missing parts, water intrusion into electronics, punctures/cracks, or impairment beyond ordinary wear and tear.
- Return Window. The return timing communicated at checkout and/or in your Order Confirmation. Unless otherwise stated in writing by ShadeReady, the return deadline is no later than 10:00 AM local time on the day your rental ends.
4. Order Process; Acceptance; Substitutions
Orders are offers. Your Order is an offer to rent/purchase items. We may accept or decline your Order for any reason, including inventory constraints, delivery coverage, operational constraints, or suspected fraud.
Acceptance. An Order is accepted only when we issue an Order Confirmation or otherwise confirm acceptance in writing (including text/email).
Substitutions. If an item becomes unavailable (e.g., damaged, recalled, inventory mismatch), we may substitute an item of equal or greater functionality, or we may offer you the option to cancel that item (and issue an appropriate refund).
Third-party properties. If your Delivery Location is a hotel/resort/venue you do not control, delivery access is subject to that property's rules. If the property restricts access or refuses delivery/return, we may need to: (i) change the handoff location, (ii) require an in-person handoff, or (iii) cancel with an appropriate refund, depending on circumstances.
5. Delivery and Return Procedures
Handoff method depends on the property. Depending on the property's policies and operational considerations, delivery may be completed by:
- Drop-off with the hotel front desk/bell desk/concierge.
- An in-person handoff (e.g., meeting you in the lobby).
Text instructions. We will text you with the delivery/return plan for your Order, including whether we are dropping off at the hotel front desk (or similar) or requiring a lobby meet. You are responsible for monitoring your phone for these instructions and responding as needed.
Authorization to leave items. If we notify you that we are dropping off at the hotel front desk/bell desk/concierge, you authorize ShadeReady to leave Rental Items with hotel staff or in a designated secure area consistent with the property's policy.
Customer responsibility starts at delivery. Your responsibility for Rental Items begins when the Rental Items are delivered to the Delivery Location (including when left with hotel staff) and continues until returned and retrieved/checked-in by ShadeReady.
Inspection at receipt. You must inspect Rental Items promptly upon receiving them. If something is missing, incorrect, or not functional, notify us as soon as possible so we can attempt to remedy the issue.
Return deadline (10:00 AM). Unless ShadeReady confirms otherwise in writing, you must return all Rental Items no later than 10:00 AM local time on the day your rental ends.
How to return items. You may return Rental Items by leaving them:
- With your hotel front desk / bell desk / concierge.
- At the front door of your vacation stay (for eligible vacation rentals/homes where leaving items at the front door is permissible and reasonably secure).
You are responsible for ensuring Rental Items are left in a reasonably secure location and for notifying us (via text) once returned.
No pickup attempt fees. We do not charge separate "pickup attempt" or "re-delivery/pickup" fees. However, late-return fees and/or replacement charges may still apply as described in Sections 11 and 10.
6. Customer Responsibilities; Proper Use
- Care and safekeeping. You agree to use and care for Rental Items in a careful, responsible manner and to keep them secure from theft, loss, and avoidable damage. Do not leave Rental Items unattended in public areas.
- No prohibited transfers. You may not sublease, loan, sell, or transfer Rental Items to another party without our prior written consent.
- Use by minors. Rental Items may not be used by minors without adult supervision.
- Electronic safety (fans and power banks).
- Use only as intended and keep electronics away from pools, hot tubs, and heavy rain.
- Do not attempt to open, modify, puncture, or repair batteries or charging devices.
- Do not leave charging devices unattended on flammable surfaces.
- Umbrella safety. Use caution in high winds. You are responsible for injuries or damage caused by misuse.
- Ice packs and cooling components. Do not puncture ice packs. Do not ingest contents. Follow any labels/warnings included on the product.
7. Malfunction; Service Issues
Stop using unsafe items. If any Rental Item appears unsafe or malfunctions, stop using it immediately and contact us.
Remedy. When feasible, we will attempt to repair/replace the item or provide a reasonable alternative.
Limited refund remedy. If we cannot reasonably remedy a material malfunction, we may refund the unused portion of the rental fee for the affected item(s), at our discretion, as your primary remedy.
8. Fees, Charges, and Payment Authorization
Pricing. Rental fees and any delivery fees, taxes, and other charges are as disclosed at checkout and/or in your Order Confirmation.
Consumables are sold, not rented. Consumables are non-returnable. Unless required by law, Consumables are not refundable once delivered.
No security deposit or hold. ShadeReady does not charge a security deposit or place a security hold as a condition of rental for standard orders.
Payment timing. Unless stated otherwise, charges are collected at checkout. Additional charges may be assessed later for late returns, missing items, damage, excessive cleaning, or replacement.
Authorization to charge (card on file; off-session). You authorize ShadeReady to charge the payment method used for the Order (or any payment method you provide for the Order) for:
- Amounts due at checkout.
- Additional amounts incurred under this Agreement (late fees, replacement costs, cleaning fees, and other amounts due), including charges processed after checkout without you being present ("off-session").
Notice of additional charges (itemized). If additional charges apply (late return fees, cleaning fees, missing items, repair fees, or replacement costs), we will send you an itemized message by text and/or email describing the reason and amount. Unless immediate action is required (for example, items treated as lost under Section 11), you authorize ShadeReady to charge the payment method on file no sooner than 12 hours after we send that itemized notice.
If your card fails. If a charge cannot be processed, you agree to pay the amount due immediately upon notice. We may use reasonable collection measures.
9. Excessive Cleaning Fee
Rental Items must be returned in reasonably clean condition (normal dust, minor crumbs, and typical travel grime are expected). We may assess an Excessive Cleaning Fee if Rental Items are returned with, for example:
- Gum, adhesive residue, paint/ink, or deep staining.
- Mold/mildew or strong odors (smoke/vape).
- Food/drink spills that have dried and hardened.
- Bodily fluids.
- Sand accumulation beyond normal use.
- Other conditions requiring extraordinary cleaning or sanitation.
Excessive Cleaning Fee: $5 per item.
If cleaning is not reasonably possible (or if damage is beyond cleaning), additional charges may apply under Section 10 (Loss, Theft, Damage, and Replacement Costs).
10. Loss, Theft, Damage, and Replacement Costs
Customer responsibility. You are responsible for loss, theft, and Damage to Rental Items during the Rental Period, whether or not caused by you, including if items are left with hotel staff or stored in a hotel room.
No damage waiver; customer remains responsible. ShadeReady does not offer a damage waiver or rental protection. You remain fully responsible for charges described in this Agreement, including Damage, missing items/parts, and replacement costs.
Replacement and repair costs. If an item is lost, stolen, not returned, or damaged beyond repair, you agree to pay the replacement cost. If an item is damaged but repairable, you agree to pay the reasonable cost of repair (up to, but not exceeding, the replacement cost).
Missing components. Missing cables, straps, lanyards, lids, and other parts may be charged at a reasonable replacement rate.
Replacement cost schedule. The following amounts are the standard replacement costs for common Rental Items. If we substitute an item, the applicable replacement cost will be the replacement cost for the substituted item.

Personal property. We are not responsible for your personal items left in, on, or near Rental Items.
11. Late Returns; Items Treated as Lost
Late Return Fee. If Rental Items are not returned by the agreed Return Window (including the 10:00 AM deadline, unless otherwise confirmed in writing), we may charge a Late Return Fee to cover disruption to other reservations and operational costs.
Late Return Fee: $40 per order, per day.
When items may be treated as lost. If Rental Items are not returned within 24 hours after the Return Window, the items may be treated as lost and you may be charged the applicable replacement cost(s) in Section 10.
Late fees are separate from (and may be charged in addition to) replacement costs if items are not returned.
12. Cancellations and Refunds
Unless different terms are disclosed at checkout for a specific product/season/promotion, the following cancellation policy applies:
- Cancel 24+ hours before delivery: Full refund of rental fees and delivery fees (if applicable).
- Cancel within 24 hours of delivery: Refund less a Cancellation Fee of $10.
No-shows / unreachable customers. If we attempt delivery/pickup and cannot complete it due to incorrect address, inability to access the property, refusal by property staff, or inability to locate the customer/order, we may treat the Order as a no-show and apply the cancellation policy above.
Company cancellations. If we cancel your Order (e.g., inventory failure, operational disruption), we will issue an appropriate refund for undelivered items/services.
13. Customer Eligibility; Authority
You represent that you are at least 18 years old and have authority to enter into this Agreement and to authorize charges to the payment method used.
14. Disclaimers; Assumption of Risk
- Not the manufacturer. ShadeReady is not the manufacturer of third-party products.
- As-is rental (limited). Rental Items are provided "as is," subject to any limited remedies expressly stated in this Agreement.
- Assumption of risk. You assume all risks associated with possession and use of Rental Items, including risks related to outdoor heat, physical exertion, charging electronics, and travel environments.
15. Limitation of Liability
To the maximum extent permitted by law:
- ShadeReady will not be liable for indirect, incidental, special, consequential, or punitive damages (including trip disruption, lost enjoyment, or lost time).
- ShadeReady's total liability arising out of or related to the Order or Rental Items will not exceed the amount you paid for the Order.
Some jurisdictions do not allow certain limitations, so these limitations may not apply to you in full.
16. Release
To the maximum extent permitted by law, you release ShadeReady and its owners, employees, contractors, and agents from claims arising out of your use, possession, transportation, or handling of Rental Items, except where caused by ShadeReady's gross negligence or willful misconduct.
17. Indemnification
You agree to indemnify, defend, and hold harmless ShadeReady from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to your possession, use, misuse, or failure to return Rental Items, or your breach of this Agreement.
18. Dispute Resolution; Governing Law; Venue
Good-faith resolution. If a dispute arises, the parties will first attempt to resolve it in good faith through informal discussion.
Governing law. This Agreement is governed by the laws of the State of Florida, without regard to conflict-of-law rules.
Venue (if not arbitrated). If arbitration is not elected or is found unenforceable, disputes will be brought in state or federal courts located in Orange County, Florida, and you consent to personal jurisdiction there.
19. Arbitration (Mutually Elected; Remote-First)
Mutual election. Either you or ShadeReady may request that a dispute be resolved through binding arbitration. If either party requests arbitration, and the request is permitted by law and enforceable, the dispute will be resolved by arbitration rather than in court (except as allowed for small-claims matters or injunctive relief, where permitted).
Administrator and rules. Arbitration will be administered by the American Arbitration Association (AAA) under its applicable consumer arbitration rules.
Remote-first by default. The parties agree that arbitration should be conducted remotely (video/teleconference) by default, unless the arbitrator determines that an in-person hearing is necessary. If an in-person hearing is required, it will take place in Florida unless the arbitrator rules otherwise.
Individual basis. To the extent permitted by law, disputes will be brought on an individual basis and not as part of a class, collective, or representative proceeding.
Relief. The arbitrator may award any relief available in court to the extent permitted by law.
(If you include an arbitration provision in your Terms of Use, ensure the language is consistent across documents.)
20. Assignment; No Subleasing
You may not assign, transfer, sublicense, or sublease your rights or obligations under this Agreement without ShadeReady's prior written consent. Any attempted assignment is void.
21. Force Majeure
ShadeReady is not liable for delays or failures caused by events outside our reasonable control, including severe weather, natural disasters, road closures, government action, power outages, or property access restrictions. In such cases, we will make reasonable efforts to provide alternatives or issue appropriate refunds for undelivered services.

Order coordination by text. You agree that we may contact you at the phone number and email you provide for order updates, delivery coordination (including whether we will drop off at the hotel front desk or require a lobby meet), and support.
23. Severability
If any provision of this Agreement is found unenforceable, the remaining provisions remain in effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.
24. Entire Agreement
This Agreement, together with the Site Policies and Order Confirmation, constitutes the entire agreement between you and ShadeReady regarding the Order and supersedes prior discussions or representations.
